1. Acceptance.

By accessing or using Legislat's services, including the Sentinel legal-research assistant and the "Sentinel Legal" connector, which will be available in vendors' marketplaces (the "Service"), you agree to these Terms of Service ("Terms"). If you do not agree, do not use the Service. If you use the Service on behalf of an organization, you represent that you are authorized to bind that organization.

2. Description of the Service.

Legislat provides tools that search, organize, and summarize Panama's public normative and judicial record — laws, decrees, resolutions, Official Gazette (Gaceta Oficial) publications, court rulings (fallos), and legislative bills — and present answers grounded in those official sources. Access to certain surfaces, including the Sentinel Legal connector, is administrator-provisioned and role-gated; signing in does not by itself grant access to the tools.

3. Not legal advice.

The Service provides legal information drawn from public sources for research and informational purposes only. It is NOT legal advice, does not create an attorney–client relationship, and is not a substitute for consultation with a licensed attorney. Although the Service is designed to cite official sources and to decline when it cannot, outputs may contain errors, omissions, or outdated information. You are responsible for independently verifying any information before relying on it. Do not use the Service for any decision that requires professional legal judgment without confirming with qualified counsel.

4. Eligibility and accounts.

You must be able to form a binding contract to use the Service. Access is granted by Legislat to specific users; you are responsible for maintaining the confidentiality of your credentials and for all activity under your account. Notify us promptly of any unauthorized use.

5. Acceptable use.

You agree not to: (a) use the Service unlawfully or to facilitate unlawful activity; (b) attempt to gain unauthorized access to the Service, other accounts, or our systems; (c) probe, scan, or circumvent security or access controls, including the role gate; (d) scrape, harvest, or extract data at a scale or in a manner that disrupts the Service or exceeds applicable rate limits; (e) reverse engineer, decompile, or attempt to derive source code except to the extent permitted by law; (f) resell or redistribute the Service without authorization; or (g) misrepresent the Service's outputs as official government records or as legal advice.

6. Intellectual property.

The Service, including its software, organization, and presentation, is owned by Legislat and protected by applicable law. Underlying legal texts and official records are public sources and are not owned by Legislat; their inclusion does not confer any ownership over them. Subject to these Terms, Legislat grants you a limited, non-exclusive, non-transferable, revocable right to use the Service for your internal, lawful purposes.

7. Data and privacy.

Our handling of personal data is described in our Privacy Policy at https://legislat.ai/privacy. By using the Service you agree to that policy. The Service stores account and profile information and usage telemetry (which tools are invoked) for reliability, security, and support.

8. Availability and changes.

The Service is provided on an "as available" basis. We may modify, suspend, or discontinue any part of the Service at any time, and may impose or change usage limits. We are not liable for any modification, suspension, or discontinuation of the Service.

9. No warranties.

The Service is provided "as is" and "as available," with all faults and without warranties, guarantees, conditions, or representations of any kind, whether express, implied, statutory, or otherwise. To the maximum extent permitted by law, Legislat expressly disclaims all warranties and guarantees, including any implied warranties of merchantability, fitness for a particular purpose, title, non-infringement, accuracy, completeness, reliability, availability, or security, and any warranty that the Service will be uninterrupted, timely, or error-free or that any information it provides is correct or current. Legislat makes no guarantee and assumes no responsibility for any result obtained from, or any decision made in reliance on, the Service. You use the Service entirely at your own risk. Where applicable law does not allow the exclusion of certain warranties, those exclusions apply to the fullest extent permitted by law.

10. No liability.

To the maximum extent permitted by law, Legislat and its affiliates, officers, directors, employees, agents, and suppliers will have no liability whatsoever, and assume no responsibility, for any damages of any kind — whether direct, indirect, incidental, special, consequential, exemplary, or punitive, including any loss of profits, revenues, data, goodwill, or other intangible losses — arising out of or related to these Terms, the Service, the content the Service returns, your use of or inability to use the Service, or any reliance on it, even if advised of the possibility of such damages and regardless of the legal theory. To the maximum extent permitted by law, Legislat's total aggregate liability for all claims relating to the Service will not exceed ten United States dollars (USD $10). Some jurisdictions do not allow certain limitations or exclusions of liability; in that case, Legislat's liability is limited to the smallest amount permitted by applicable law.

11. Indemnification.

You agree to indemnify and hold harmless Legislat from any claims, damages, liabilities, and expenses (including reasonable legal fees) arising out of your misuse of the Service or your violation of these Terms or applicable law.

12. Changes to these Terms.

We may update these Terms from time to time. The "Effective date" above indicates the latest revision. Material changes will be reflected on this page; your continued use of the Service after changes take effect constitutes acceptance.

13. Termination.

We may suspend or terminate your access to the Service at any time, with or without cause or notice. Upon termination, the rights granted to you under these Terms will cease. Provisions that by their nature should survive — including intellectual property, disclaimers, limitation of liability, indemnification, and governing law — will survive.

14. Governing law.

These Terms are governed by the laws of the Republic of Panama, without regard to its conflict-of-laws principles. The courts of Panama City, Republic of Panama, will have exclusive jurisdiction over any dispute arising out of or relating to these Terms or the Service, subject to any mandatory consumer-protection rights you may have.
